Saturday 17th April 2021 General Meeting on Saturday 17th April 2021
The meeting held online today attracted some 230 members and it went well. The members approved the change so the nominated members would be voted separately rather than as a block vote. The results are available now and the minutes of the meeting including the various questions raised and the responses will be released before too long. Voting results
Monday 12th April 2021 General Meeting is going ahead on Saturday 17th April 2021 as planned
The General Meeting will be held as planned. Whilst technically Resolution 2 is only to be proposed at the General Meeting if Resolution 1 is passed, however it seems illogical to continue with Resolution 1 given the receipt on 7th April 2021 of the resignations of the members of the Executive Committee other than Peter Cook. Although Peter has since co-opted the nominated members as directors, which we understand was confirmed at their first Board meeting on Friday 9th April, it is felt that holding the General Meeting is worthwhile so the Voting Members, each representing their CRB, can vote to approve those co-options and in three cases approve their appointment as officers of the Club (Chairman, VC and Treasurer).

Five directors announce they have resigned
The announcement in a letter sent to CRB Committee Members said "we have taken this course of action and resigned cogniscant of your views as expressed at the meeting held on 27th March 2021." By "your views" they were refering to the 82% of the Voting Members, each representing their CRB, who voted for the motion of "no confidence in the Executive Committee, except Peter Cook", at what was clearly a valid Council Meeting. Currently Peter Cook remains the sole director of the Club. More

The directors who resigned were Keith Williams, Richard Colston, Dave Saunders, George Wilder and Paul Money. We also understand the recently appointed company secretary, Edward Vandyk, has also resigned.

The valid General Meeting called for Saturday 17th April 2021 at 11am to be held online because of the current Covid constraints, will go ahead as announced in the formal call made on 1th March 2021 by seven Council Members, each representing their CRB. Information

Statement

In response to requests from several Council Members for more information on the experience and knowledge of each candidate for the role of director and an indication of what they aim to contribute to the good management and governance of the Club, if elected, each candidate has provided a statement.

Undertaking
In response to concerns raised by a Council Member representing a Register that the election of a team of candidates as a block might be regarded as "regime change", each candidate alongside has given an undertaking to stand down at the next Club AGM (probably in October 2021) and offer themelves for re-election alongside any other Club member who wishes to stand for election.

Council Meeting sees strong support for the governance concerns
There was a good turnout of Council Members from nearly all the Centres, Registers & Branches (CRBs) of the Club for the Council Meeting held on Saturday 27th March 2021. There were 69 members in attendace including 36 Voting Members each representing their CRB.

Voting outcome was a powerful indication of the supportive views of the Voting Members representing their CRBs:
Motion: "no confidence" in the existing members of the Executive Committee, excluding Peter Cook.
Result: For 28 (82%) - Against 6 (18%) - Abstain 2

Monday 22nd March 2021 Why hasn't a copy of the Notice of our General Meeting not been posted on the Club website and in Safety Fast!?
When our formal letter was sent the Executive Committee (EC) on 11th March 2021 notifying them of the call by seven Council Members of their General Meeting to be held on Saturday 17th April 2021, we required the EC to post a copy of the formal Notice of the meeting on the Club website and in the April 2021 issue of Safety Fast!. As usual there was no reply from any EC member so several reminders were sent but again no reply was received. An email sent to the Assistant General Manager, Lauran Gallacher, brought the reply "we await instructions from the directors" but nothing followed. Our formal call for the General Meeting was sent to all Council Members for all the CRB's Voting Members so they will have had due notice of the meeting. May CRBs responded by posting a copy of the Notice on their CRB websites which helped the Noice reach their members.

A generous Club member paid for a quarter page advert in the classified ads section of the April 2021 issue of Safety Fast! but when the final copy for the magazine was proofed by the general manager we have had reports the advert was removed so will not appear in that issue. That would be a blatant attempt to block proper notice to all Club members yet again.

With his statement issued on 19th March 2021 to all Council Member, Edward Vandyk announced he had been appointed a new Company Secretary (but on his terms) and suggested the calls for both the Council Meeting and the General Meeting could be invalid. So on we sent him a question which was very straightforward to which only a simple but full answer is required – "why has the formal Notice of the General Meeting called on Thursday 11th March 2021 by seven Council Members not been posted promptly to the Club’s website and also a copy included in the April 2021 issue of the Club magazine as is required by company law to give proper notice to all members?" Today his casual reply (now some 11 days after our formal call for the General Meeting was made) has been:
"Thank you for your e-mail. I do understand your need for a record of events. I will provide the answer to the questions you pose within the next 48 hours."
So yet again we have to wait, by then 2 weeks after our formal call was sent to the EC.
Statement

Today we have seen the link to the V8 Register's website on the Club's website has been removed. The micro-website for this News & Updates webpage and the other information on the two important meetings is provided on that micro-website on the
V8 Website. We feel the removal of the link is likely to have been to frustrate fellow members gaining access to essential news and updates.

Thursday 18th March 2021 New Company Secretary
A third chaser email was sent to the Assistant General Manager (who we understand maintains the Club website) to get confirmation that the Executive Committee had posted a copy of the formal Notice of the General Meeting called by seven Council Members on the Club website. In addition confirmation was required as to whether a copy of the Notice will be included in the April 2021 issue of Safety Fast! It brought a very brief and unhelpful reply from a new Company Secretary for the Club.

This was sent to the Executive Committee (EC) on Thursday 11th March 2021 with the requirement that the formal Notice of the meeting should be put on the Club website promptly together with a copy in the April 2021 issue of Safety Fast! so members for have proper notice of the General Meeting called by seven Council Members. Despite sending the EC members three reminders the Notice has not been put on the website or included in the April 2021 issue of Safety Fast! to give proper notice of the meeting to all members. The EC members have now failed to reply to 12 formal emails or letters sent to them by the seven Council Members who have called both meetings since the start of February 2021. This is an example of the concerns over their management of the Club and particularly its governance.
